Terms of Use

1. Acceptance of Terms

By accessing or using the Remic Business Centre website located at remicbusiness.ca (the "Site"), creating an account, booking a workspace, renting a mailbox, or engaging our consulting or business services (collectively, the "Services"), you agree to be legally bound by these Terms of Use ("Terms"). Please read them carefully before using our Services.

If you do not agree to these Terms, you must not access or use our Site or Services. These Terms apply to all visitors, registered users, clients, and any other person who accesses or uses our Services.

These Terms are entered into between you and Remic Business Centre Inc. ("Remic Business Centre", "we", "us", or "our"), located at 111 Dunlop St. W, Whitby, ON L1N 6A4. Our Privacy Policy, which is incorporated into these Terms by reference, governs our collection and use of your personal information.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract under the laws of Ontario to create an account, make a booking, or purchase any of our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

If you are using our Services on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms shall include both you and that entity.

3. Our Services

Remic Business Centre provides the following services: (a) Workspace solutions — flexible private offices, meeting rooms, day offices, and podcast studios available for hourly or daily booking; (b) Mailbox rental — professional business address and mail handling services at our Whitby location; (c) Business consulting — strategic guidance and advisory services for entrepreneurs and growing businesses; and (d) Business ecosystem referrals — connections to affiliated businesses and service providers within the REMIC Business Ecosystem.

Specific terms, pricing, and conditions for each service are communicated at the time of booking or in a separate service agreement. In the event of a conflict between these Terms and a specific service agreement, the service agreement shall prevail with respect to that service.

We reserve the right to modify, suspend, or discontinue any Service, or any feature or portion thereof, at any time with reasonable advance notice where practicable. We will not be liable to you or any third party for any modification, suspension, or discontinuation of Services.

4. Accounts and Registration

To access certain features of our Site, including making bookings, you must register for an account. When creating an account, you agree to: provide accurate, current, and complete information; keep your account information up to date; maintain the confidentiality of your login credentials; and notify us immediately at [email protected] if you suspect any unauthorised use of your account.

You are solely responsible for all activity that occurs under your account, whether or not you authorised it. We will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

We reserve the right to suspend, restrict, or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or if your account has been inactive for an extended period. Upon termination, your right to use our Services will immediately cease.

5. Bookings and Payments

All workspace bookings are subject to availability and are not confirmed until full payment has been received and a booking confirmation has been issued. Prices are listed in Canadian dollars (CAD) and are subject to applicable taxes, including Harmonised Sales Tax (HST) at the rate applicable in Ontario.

Payments are processed securely through Stripe, Inc. By providing your payment information, you authorise us to charge the applicable fees to your selected payment method. You represent and warrant that you are authorised to use the payment method provided. Stripe's terms of service and privacy policy govern the processing of your payment data.

Cancellation and refund policies vary by service type and are communicated at the time of booking. You are responsible for reviewing and understanding the applicable cancellation policy before completing your purchase. We reserve the right to refuse refunds for no-shows, late cancellations outside the stated policy window, or misuse of our facilities.

In the event of a disputed charge, you agree to contact us at [email protected] before initiating a chargeback with your financial institution. We will make reasonable efforts to resolve billing disputes promptly and in good faith.

6. Mailbox Rental Terms

Mailbox rental plans are billed on a monthly basis. You may cancel your mailbox rental with a minimum of 30 days' written notice to [email protected]. Fees paid for the current billing period are non-refundable upon cancellation.

The Remic Business Centre address (111 Dunlop St. W, Whitby, ON L1N 6A4) may be used solely for legitimate business correspondence and business registration purposes. You agree not to use our address in connection with any fraudulent, illegal, deceptive, or misleading business activity, including but not limited to: misrepresenting your business location to clients or regulators; using the address for a business that does not exist or is not actively operating; or using the address in violation of any applicable law or regulation.

Violation of these mailbox use restrictions will result in immediate termination of your mailbox rental without refund and may be reported to the appropriate authorities.

We are not responsible for lost, stolen, damaged, or delayed mail or packages. Mail and packages not collected within 30 days of notification may be returned to sender or disposed of at our discretion. We are not liable for any loss or damage arising from the handling, storage, or disposal of mail or packages.

7. Workspace Use and Conduct

When using our physical workspace facilities, you agree to: use the space only during your confirmed booking period; treat the facilities, equipment, and furnishings with care and report any damage promptly; respect the privacy and working environment of other clients and staff; comply with all posted rules, health and safety requirements, and reasonable instructions from our staff; and vacate the space promptly at the end of your booking period.

You are responsible for any damage to our facilities or equipment caused by you, your employees, agents, or guests during your booking period. We reserve the right to charge your payment method on file for the cost of repairing or replacing damaged items.

We reserve the right to remove any person from our facilities who is behaving in a disruptive, threatening, or inappropriate manner, without refund.

8. Acceptable Use of the Site

When accessing or using our Site, you agree not to: use the Site for any unlawful purpose or in violation of any applicable law or regulation; attempt to gain unauthorised access to our systems, servers, databases, or other users' accounts; interfere with or disrupt the integrity, performance, or security of the Site; transmit any viruses, malware, spam, or other harmful or disruptive content; scrape, crawl, or systematically extract data from the Site without our prior written consent; impersonate any person or entity or misrepresent your affiliation with any person or entity; or use the Site in any manner that could damage, disable, overburden, or impair our infrastructure.

9. Intellectual Property

All content on this Site — including but not limited to text, graphics, logos, images, photographs, icons, audio clips, video clips, data compilations, and software — is the property of Remic Business Centre or its content suppliers and is protected by applicable Canadian and international copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your personal, non-commercial purposes in connection with our Services. You may not reproduce, republish, distribute, transmit, display, modify, create derivative works from, or otherwise exploit any content from this Site without our prior written consent.

The Remic Business Centre name, logo, and all related marks are trademarks or registered trademarks of Remic Business Centre Inc. Nothing in these Terms grants you any right to use our trademarks without our prior written permission.

10. Consulting Services Disclaimer

Business consulting services provided by Remic Business Centre are for general informational, strategic guidance, and educational purposes only. They do not constitute, and should not be relied upon as, legal, financial, accounting, tax, investment, or other professional advice regulated under applicable law.

We strongly recommend that you consult qualified and licensed legal, financial, accounting, and other professional advisors before making any significant business, financial, or legal decisions. Remic Business Centre is not liable for any loss, damage, or adverse outcome resulting from your reliance on or implementation of any consulting recommendations, guidance, or information provided through our Services.

11. Disclaimer of Warranties

Our Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that: (a) our Site or Services will be uninterrupted, timely, secure, or error-free; (b) any errors or defects will be corrected; (c) our Site is free of viruses or other harmful components; or (d) the results obtained from using our Services will be accurate, reliable, or meet your requirements. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Remic Business Centre, its directors, officers, employees, agents, contractors, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or cost of substitute services, arising out of or in connection with your use of or inability to use our Site or Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any and all claims arising out of or relating to these Terms or our Services shall not exceed the greater of: (a) the total amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim; or (b) one hundred Canadian dollars (CAD $100.00). This limitation applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise.

Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages. If you are a consumer in such a jurisdiction, some of the above limitations may not apply to you, and your statutory rights remain unaffected.

13. Indemnification

You agree to indemnify, defend, and hold harmless Remic Business Centre and its directors, officers, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of our Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property rights or privacy rights; or (e) any damage you cause to our facilities, equipment, or property.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the Regional Municipality of Durham.

Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will revise the effective date at the top of this page and, where appropriate, notify registered users by email or by posting a prominent notice on our Site. We encourage you to review these Terms periodically.

Your continued use of our Site or Services after the revised Terms are posted constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of our Services.

16. General Provisions

Entire agreement — these Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Remic Business Centre with respect to your use of our Services and supersede all prior agreements, representations, and understandings.

Severability — if any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver — our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Remic Business Centre.

Assignment — you may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
